# Contract compliance review

Use this skill in AI chat when a page holds a contract, an order form or a subcontracting agreement and you want every important clause checked. In note2it, flag this page as a skill (Share menu → Skill → AI chat), then type / in AI chat on the contract page and pick it.

## When to use

- A new vendor or subcontracting agreement arrives as a PDF import.
- A renewal changes terms you signed last year.
- Before a signature, as a last pass.

## Procedure

1. Read the whole page before answering. Do not stop at the first section.
2. List every clause that touches money, time or liability, with its article number.
3. For each required clause below, say whether it is present, missing or unclear, and quote the exact sentence that decides it.
4. Highlight on the page every sentence that creates an obligation for us (a payment, a deadline, a penalty, a notice period).
5. Finish with the open questions a lawyer would still ask.

## Required clauses

- Term and termination: start date, end date, renewal, notice period, termination for cause and for convenience.
- Payment: amounts, currency, invoicing schedule, late-payment interest, taxes.
- Liability: cap, exclusions, indemnities, insurance.
- Confidentiality: scope, duration after the end of the agreement, return or destruction of data.
- Intellectual property: who owns what is produced, licence back, pre-existing material.
- Non-solicitation and non-compete: duration, scope, penalty.
- Governing law and disputes: jurisdiction, mediation or arbitration first.
- Data protection: personal data, subprocessors, breach notification delay.

## Output

- Highlight each obligation on the page.
- Append a section titled "Missing items" as a task list, one task per missing or unclear clause, so each one lands in My tasks.
- Keep the written answer short: the highlights and the task list are the deliverable.
