Terms of Service

These Terms of Service ("Terms") govern your access to and use of the note2it website and application (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
Acceptance of these Terms
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and the policies referenced in them. If you use the Service on behalf of an organization, you represent that you are authorized to bind it, and "you" refers to that organization.
Eligibility
You must be able to form a binding contract to use the Service. If you are a minor in your jurisdiction, you may use the Service only with the involvement and consent of a parent or guardian. We do not knowingly allow children under 14 to create an account without parental consent.
Your account
You are responsible for the information you provide, for keeping your login credentials confidential, and for all activity under your account. Notify us promptly of any unauthorized use. We may refuse, suspend, or terminate accounts that violate these Terms.
Plans, tiers, and billing
The Service offers different plans (currently Standard, Premium, and Enterprise) with the limits shown on our Pricing page. The Service is currently in early access: plan assignment is handled manually and no payment is required or charged at this time. When paid billing is introduced, we will present the applicable billing terms — including fees, taxes, renewal, and cancellation — and obtain your consent before charging you. Plan limits and features may change; we will give notice of material changes that affect a plan you rely on.
Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Upload or share content that infringes the rights of others, is defamatory, or is otherwise unlawful.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems.
- Interfere with or disrupt the Service, or introduce malware.
- Reverse engineer, scrape, or resell the Service except as permitted by law.
- Store or transmit personal information you are not authorized to process.
Your content
You retain all rights in the content you create or upload ("Your Content"). You grant us a limited, worldwide, non-exclusive licence to host, store, process, transmit, and display Your Content solely to operate and provide the Service to you, including running the AI features you trigger. You are responsible for Your Content and for ensuring you have the rights necessary to use it with the Service. We do not claim ownership of Your Content.
AI features
Optional AI features generate content using third-party providers. AI output may be inaccurate, incomplete, or unsuitable for your purpose, and does not constitute legal, medical, financial, or other professional advice. You are responsible for reviewing AI output before relying on it. AI features are subject to usage limits and may change or be discontinued.
Our intellectual property
The Service, including its software, design, and trademarks, is owned by us and our licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-transferable, non-exclusive right to use the Service in accordance with these Terms. No rights are granted except as expressly stated.
Privacy
Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which forms part of these Terms.
Third-party services
The Service relies on, and may link to, third-party services. We are not responsible for third-party services or their content, and your use of them may be subject to their own terms and privacy policies.
Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or its users. On termination, your right to use the Service ends; we handle your personal information as described in our Privacy Policy, and you remain responsible for exporting any content you wish to keep.
Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure. Some jurisdictions, including Québec, do not allow certain warranty exclusions, so some of the above may not apply to you.
Limitation of liability
To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim or CAD $50. Nothing in these Terms limits liability that cannot be limited under applicable law, including under Québec consumer-protection legislation.
Indemnification
To the extent permitted by law, you agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your breach of these Terms.
Governing law and language
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Subject to any mandatory consumer-protection rules that apply to you, you agree to the exclusive jurisdiction of the courts of the Province of Québec. A French-language version of these Terms is available; where required by applicable law, the French version prevails.
Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
